Terms of Service

1. Acceptance

Simple Solutions is a business solutions division of Isa Pankei Group and provides software and communication technology services to businesses. By creating an account, connecting a business or using Simple Restaurant, you accept these Terms and confirm that you have authority to act on behalf of the relevant business.

Service owner: Isa Pankei Group, SRL. If you do not agree with these Terms, do not use the service.

2. Service description

Simple Restaurant makes the following capabilities available to the business customer:

• Connecting and managing its WhatsApp Business account to receive and answer orders.
• Conversation inbox, message templates, automated replies and status notifications.
• Menu analysis: costs, margins, per-dish performance and menu recommendations.
• Loyalty programs, repurchase campaigns and customer segmentation.
• Operational reports and admin dashboards for authorized staff.

Some features depend on external services such as Meta, WhatsApp, hosting providers and payment processors, subject to their own terms and availability.

3. Accounts and authorized users

• The business designates authorized users and assigns their roles.
• You are responsible for keeping credentials secure and reporting unauthorized access.
• You must provide accurate information and keep it up to date.
• We may suspend access that poses a security risk or breaches these Terms.

4. Acceptable use and messaging

You must use the service in accordance with the law, the WhatsApp Business Policies, Meta's terms and recipients' preferences. The business is responsible for holding the consent needed to communicate with its customers, using approved templates where applicable, and honoring opt-out requests.

Sending spam, unlawful or deceptive content, accessing another business's data, or circumventing security controls is prohibited. Full detail is in our Acceptable Use & Messaging Policy.

5. Business data

The business retains all rights over the information it uploads to or generates on the platform, including its menu, its customers and its conversations. It authorizes us to process that information solely to operate, protect and improve the service, per our Privacy Policy and our Data Processing document.

6. Plans, billing and renewal

Plans, prices and billing cycles are agreed in writing at signup. Unless otherwise agreed, subscriptions renew automatically for the same period. Charging, cancellation and refund conditions are detailed in Billing & Refunds.

7. Intellectual property

The Simple Restaurant software, brand, design and documentation are owned by Isa Pankei Group, SRL. The business is granted a limited, non-exclusive, non-transferable license to use the service for the term of the contract. Copying, decompiling, reselling or creating derivative works without written authorization is not permitted.

8. Availability and changes

We work to keep the service available but do not guarantee uninterrupted operation. We may perform scheduled maintenance and modify features in response to technical, regulatory or integrated-platform changes, giving reasonable notice when a change is material.

9. Limitation of liability

To the extent permitted by law, Isa Pankei Group, SRL is not liable for interruptions or decisions by external providers (including Meta and WhatsApp), indirect loss of revenue, or use of the service contrary to these Terms. The service is provided "as is", without implied warranties beyond those required by applicable law.

10. Termination

You may stop using the service at any time and request data deletion. We may limit or terminate access for breach, security risk, non-payment or legal requirement. After termination, the business may request an export of its data within the following 30 days.

11. Governing law

These Terms are governed by the laws of the Dominican Republic. Any dispute will be submitted to the competent courts of the Distrito Nacional, unless otherwise agreed in writing.
